Approved Contractor Framework Agreement (Summary)
This is a summary for public visibility. Full agreement terms are issued upon approval.
Independent Contractor Status
- Contractors operate as independent 1099 contractors (not employees).
- Contractors are responsible for their own taxes, insurance, and compliance.
- Approval does not guarantee work volume or any minimum assignment level.
Contract Award Process
- No work proceeds without a written work order.
- Scope and price agreed before start.
- No work proceeds without an approved written change order for any out-of-scope work.
Payment Terms
- Milestone draw releases (invoice required).
- Standard term: net 14–30 days, subject to verification/inspection and pay application approval.
- Retainage may apply where permitted by the governing contract and applicable law.
Compliance Requirements
- Maintain active General Liability insurance and provide a COI.
- Provide W-9 documentation upon request and maintain current business details.
- Maintain state licensing where required and comply with OSHA/site safety rules.
- Failure to maintain compliance may result in suspension.
Non-Circumvention & Confidentiality
- No direct solicitation of company-introduced clients (24 months).
- No sharing of client details, pricing, or contract terms.
Indemnification & No Joint Venture
- Contractors may be required to indemnify the company for losses arising from negligent work or non-compliance.
- No joint venture, partnership, or agency relationship is created by approval status.
Dispute Resolution
Disputes may be subject to arbitration or venue selection as defined in the full agreement.
Governing Law
Subject to the laws of the State of Montana, United States (as stated in the full agreement).
